Terms of Use

Last updated August 7, 2026. These Terms govern your use of the websites, applications, APIs, research, data, and related services provided by Quotient Solutions, Inc., a Delaware C corporation.

1. Agreement and services

These Terms are a legal agreement between you and Quotient Solutions, Inc., a Delaware C corporation, referred to in these Terms as Quotient, we, us, or our. They apply to Quotient's websites, Quotient Signals, the Thesis API and console, and any related content, data, tools, features, and communications we provide, collectively, the Services. By accessing or using the Services, creating an account, obtaining an API key, or purchasing credits, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

If you use the Services for an organization, you represent that you have authority to bind it to these Terms. Additional terms displayed for a product, purchase, API endpoint, or third-party data set also apply. Those specific terms control if they conflict with these Terms.

2. Eligibility and account security

You must be at least 18 years old and legally able to enter into this agreement. You must provide accurate information and use the Services only where lawful.

You are responsible for safeguarding your account, connected wallets, devices, API keys, passwords, and other credentials, and for all activity under them. Do not share credentials or allow unauthorized access. Tell us promptly if you suspect misuse. Quotient will never ask for your wallet private key or seed phrase and cannot recover them for you.

3. Information only; no investment advice

Quotient is a publisher of research and information. Quotient is not a broker-dealer, investment adviser, commodity trading advisor, futures commission merchant, exchange, or trading venue, and is not registered with the SEC, CFTC, FINRA, NFA, or any other financial regulatory authority.

The Services are for general informational and research purposes only. Nothing in the Services is investment, financial, legal, or tax advice; an offer or solicitation to buy or sell anything; or a recommendation of any security, contract, transaction, position size, leverage level, or trading strategy. We do not know your objectives, financial situation, or risk tolerance, and no advisory, fiduciary, brokerage, or customer relationship is created by your use of the Services.

4. Your trading and venue responsibilities

You make every trading decision independently and at your own risk. You are solely responsible for your trades, orders, positions, leverage, taxes, compliance, and gains or losses. Trading is risky and can result in the loss of all capital committed. Leveraged and perpetual contracts also involve liquidation, funding, liquidity, and smart-contract risks. Conduct your own research and consider consulting qualified professional advisers before acting.

Quotient does not execute trades, route orders, hold customer funds, custody assets, guarantee fills, or operate any venue referenced in the Services. Unless we expressly say otherwise, Quotient is not affiliated with those venues. You are responsible for determining whether a venue and transaction are lawful and available to you and for following all applicable laws and the venue's eligibility requirements, market rules, resolution criteria, fees, funding terms, position limits, and other terms. A link, Signal, or API response does not establish your eligibility to trade.

5. Data, forecasts, and performance

Probabilities, Signals, forecasts, market prices, indices, summaries, and other outputs may be model-generated or obtained from third parties. They may be incorrect, incomplete, misleading, delayed, out of sequence, or out of date. Markets, source material, methodologies, and outputs can change without notice. We do not guarantee the accuracy, completeness, timeliness, availability, or fitness of any information or any result from using it. Verify important information with the applicable venue and primary sources before acting, and do not rely on Quotient as your sole source for a live order or other time-sensitive decision.

Performance figures are hypothetical or paper-traded results from previously published Signals, not actual customer trading. Hypothetical results have inherent limitations and may exclude fees, spreads, slippage, funding, liquidity, taxes, execution constraints, and other real-world effects. Past performance does not guarantee future results, and your results may differ materially.

6. Use of the Services

Subject to these Terms, Quotient grants you a limited, revocable, nonexclusive, nontransferable right to use the Services for your personal or internal business purposes. API use must follow the applicable documentation, rate limits, payment requirements, and technical restrictions. If you connect the Services to an agent, bot, execution service, or other automated system, you remain responsible for its instructions, safeguards, spending, actions, and legal compliance.

You may not share or resell access; scrape or bulk extract the sites outside a designated API; copy, republish, redistribute, sublicense, or sell the Services or their outputs except as expressly permitted; use the Services to build a competing data or signals product; bypass access, billing, or security controls; probe or disrupt our systems; introduce malicious code; misrepresent Quotient content; infringe another person's rights; manipulate a market; or use the Services for unlawful, fraudulent, or abusive activity.

7. Third-party services

The Services may use or link to trading venues, market-data providers, blockchains, wallets, payment processors, publications, and other independent services. We do not control and are not responsible for their content, availability, security, rules, actions, or losses. Your use of a third-party service is governed by its own terms and privacy practices. Third-party services may change, restrict, or end access at any time, which may affect the Services.

8. Prices, payments, and credits

Prices, included usage, rate limits, and payment methods are those shown when you purchase or make a request. For an x402 request, the payment challenge presented for that request is authoritative. Prices for the Services may change from time to time. A change applies prospectively when posted or otherwise communicated and does not change a completed charge. Taxes, network fees, venue fees, and other third-party charges may apply and are your responsibility.

Prepaid credits may be used only for the applicable Services. They are nontransferable, have no cash value, and cannot be redeemed for cash. Except where required by law or expressly stated at purchase, payments and credits are final and nonrefundable. Promotional credits may be limited, revoked for abuse, or expire as stated with the offer.

If you enable automatic reload, you authorize us and our payment processor to charge the selected amount when your balance crosses the threshold shown in your settings. You can turn automatic reload off in the console, but a charge already initiated may still complete.

9. Availability, changes, and termination

The Services are provided without a service-level commitment unless we agree otherwise in writing. Access to data, accounts, APIs, or features may be slow, interrupted, unavailable, or discontinued because of maintenance, errors, security events, demand, third-party failures, network or blockchain conditions, legal requirements, or other causes. We may correct or remove content and may change methodologies, features, APIs, limits, or supported data at any time. We do not promise backward compatibility or any minimum number or frequency of Signals.

You may stop using the Services at any time. We may limit, suspend, or terminate access if you violate these Terms, create risk or legal exposure, fail to pay, misuse the Services, or if needed to protect Quotient, a user, or a third party. Sections that by their nature should survive termination will survive, including payment obligations, ownership, disclaimers, liability limits, and indemnity.

10. Ownership

Quotient and its licensors own the Services, including the software, models, research, forecasts, compilations, designs, text, graphics, trademarks, and other materials, except for identified third-party content. These Terms grant access, not ownership. Any feedback you voluntarily provide may be used by Quotient without restriction or compensation to you.

11. Disclaimers

To the maximum extent permitted by law, the Services are provided on an "as is" and "as available" basis. Quotient and its suppliers disclaim all express, implied, and statutory warranties, including warranties of accuracy, completeness, timeliness, merchantability, fitness for a particular purpose, title, noninfringement, security, and uninterrupted or error-free operation. We do not warrant any forecast, market outcome, trading result, profit, loss avoidance, or continued availability of any data, venue, asset, or feature.

12. Limitation of liability

To the maximum extent permitted by law, Quotient Solutions, Inc. and its affiliates, suppliers, officers, directors, employees, and agents will not be liable for any trading or investment loss, loss of capital, loss of profits or revenue, loss of data or goodwill, cost of substitute services, or any indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to the Services, even if advised that such loss is possible. This includes losses caused by reliance on information; inaccurate, delayed, or missing data; a forecast or Signal; use of an automated system; service interruption; a third-party venue or service; unauthorized account or API-key use; or a change to the Services or their price.

To the maximum extent permitted by law, Quotient's total liability for all claims arising from or related to the Services will not exceed the amount you paid directly to Quotient for the applicable Service during the 12 months before the event giving rise to the claim. Some jurisdictions do not allow certain warranty exclusions or liability limits, so some of the above may not apply to you.

13. Indemnity

To the extent permitted by law, you will defend, indemnify, and hold harmless Quotient Solutions, Inc. and its affiliates, officers, directors, employees, and agents from third-party claims, damages, losses, and reasonable costs arising from your unlawful or unauthorized use of the Services, your violation of these Terms or a venue's rules, your automated systems or applications, or your infringement of another person's rights.

14. Changes and general terms

We may update these Terms by posting a revised version with a new date. We will provide additional notice of material changes when required by law. Changes apply prospectively. By continuing to use the Services after revised Terms take effect, you accept them. If you do not agree, stop using the Services.

These Terms, the Privacy Policy, and any applicable product or purchase terms are the entire agreement about the Services. If a provision is unenforceable, it will be limited to the minimum extent necessary and the rest will remain in effect. A failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; Quotient may assign them in connection with a reorganization, financing, sale, or transfer of the Services.
